Verifone Commander Competitive Swap Offer Terms and Conditions

Offer Sponsor and Role:

This promotional offer (the "Offer") is sponsored by VeriFone, Inc. ("Verifone"). Verifone does not sell products directly to end purchasers. All sales are made solely by independent Verifone authorized distributors ("Authorized Distributors") on their own terms and at prices they set independently. This material is promotional only and does not constitute an offer to sell, a solicitation of an offer to buy, or any commitment by Verifone as to price, availability, or terms.

Offer Period:

June 1, 2026 through December 31, 2026, while supplies last. A qualifying purchase must be made through an Authorized Distributor during the Offer Period. The Offer terminates upon exhaustion of promotional inventory or on December 31, 2026, whichever occurs first.

Eligible Participants:

The Offer is available only to eligible single-site operators currently operating a qualifying competitor point-of-sale system with no Verifone Commander products currently in place. Limit one system per eligible site. Employees of Verifone and of Authorized Distributors, and their immediate family members, are not eligible. Void where prohibited or restricted by law.

Promotional Price:

Eligible participants may qualify for promotional pricing on a complete Commander system for as low as $7,000 through a participating Authorized Distributor, while supplies last. The $7,000 figure reflects a suggested promotional price only and is not a price offered or guaranteed by Verifone. Prices are set independently by each Authorized Distributor and may vary. Final pricing, eligibility, financing, taxes, fees, and promotional terms are determined by the participating Authorized Distributor.

What a Qualifying System May Include:

A qualifying Commander system may include:

• Commander® Site Controller
• Commander C18 Point of Sale (one register)
• M400™ payment terminal
• Receipt printer, UPS, media drawer, and all required cabling
• Forecourt fuel controller
• Activation, key injection, and deployment

Configuration, availability, and price are determined by the participating Authorized Distributor.

What Is Not Included:

The promotional price contemplates standard activation and key injection only. Site-specific installation and integration services are not included. A second register is not included; Commander C18 Point of Sale and M400 are available at full retail price as set by the Authorized Distributor.

Combinability:

No more than one Verifone promotional offer may be applied to any single system or unit of equipment. Units included in this promotional system are not eligible for any other Verifone promotional offer. Additional Verifone promotional offers, where available, apply only to separate equipment purchased outside this promotional system, including a second Commander or M400 unit required for fleet processing. Order Acceptance:

Eligibility, order acceptance, and fulfillment are handled by the Authorized Distributor. To the extent permitted by applicable law, Verifone reserves the right to modify or discontinue the Offer at any time; provided that any modification will not affect orders for which a distributor purchase order has been accepted prior to the modification date.

Verification and Fraud:

Verifone and the Authorized Distributor reserve the right to verify eligibility and to withhold or revoke promotional pricing for ineligible, duplicate, or fraudulent claims.

Sole Remedy; Limitation of Liability:

To the maximum extent permitted by law, Verifone disclaims all liability arising from or relating to the Offer, including any Authorized Distributor's pricing, availability, fulfillment, or failure to honor the promotional price. All commitments as to price, availability, and terms are made solely by the Authorized Distributor.

Order of Precedence:

These terms and the applicable Authorized Distributor's sale terms together govern the Offer. If they conflict, the applicable Authorized Distributor's sale terms will govern.

Governing Law:

New York State law governs the Offer, without regard to its conflict-of-laws rules, except to the extent the mandatory consumer-protection law of a purchaser's state applies.

Miscellaneous:

The Offer is non-transferable. If any provision is held unenforceable, the remaining provisions remain in effect. No waiver of any provision is effective unless in writing.
